🛡️ Littino Comprehensive Worldwide Terms and Conditions (Creator & User Agreement)
This legal agreement (the “Terms”) is established between you (“User,” “Creator,” or “You”) and **Webzieh Creations Ltd.** (Company Number: 13989698, registered in England and Wales), operating the Littino platform (“Littino,” “Platform,” “We,” “Our”).
These Terms are designed to be globally applicable, enforceable, and to clearly define the risks, responsibilities, and financial obligations of all parties. By accessing or using the Services, you explicitly agree to these Terms and acknowledge that they govern all transactions and disputes.
1. Acceptance, Governing Law, and Dispute Resolution
1.1 Governing Law and Jurisdiction
This Agreement, and any non-contractual disputes arising out of or in connection with it, shall be governed by and construed in accordance with the laws of **England and Wales**, excluding its conflict of law principles. This is the official legal jurisdiction for the Platform, irrespective of your physical location.
1.2 Mandatory Binding Arbitration and Class Action Waiver (Risk Protection)
To the maximum extent permitted by applicable law, You and Littino agree that any and all disputes, claims, or controversies arising out of or relating to these Terms or the Services will be resolved by **mandatory binding arbitration** administered by a recognized arbitration body in London, England. This arbitration shall be the exclusive means of resolving any dispute. You expressly waive the right to a trial by jury and the right to participate in any class action, class arbitration, or representative proceeding against Littino.
2. Financial Terms and Non-Refundable Payments (Risk Protection)
2.1 Creator Subscription Fees
Creator subscriptions fund the platform’s guaranteed value increments and operational stability. Fees are structured as follows:

The Creator subscription must be active and paid to ensure the images receive the guaranteed daily Accumulated Value increment and eligibility for the $150 Buy-Out.
2.2 Strict Non-Refundable Policy (Financial Protection)
You acknowledge and agree that **ALL SUBSCRIPTION FEES AND HONORARIUM PAYMENTS ARE STRICTLY NON-REFUNDABLE.**
- **Subscription Fees:** These fees cover the allocation of guaranteed value ($0.02 increment), server space, and platform commitment, which is rendered daily. We provide no refunds or credits for partially used subscription periods, unused upload slots, or dissatisfaction with content performance.
- **Honorariums:** An Honorarium is an immediate and irreversible act of **patronage and appreciation** from a User to a Creator, which immediately triggers the $1.50 value boost. Due to this immediate and irreversible value change, no refunds will be provided for Honorariums under any circumstances.
3. Content Ownership, Indemnity, and Liability (Creator Risk)
3.1 Creator Retained Ownership and Licence Grant
The Creator **retains full, exclusive ownership and copyright** of the **original physical or digital Artwork**. By uploading an Image, the Creator grants Littino a worldwide, non-exclusive, royalty-free license to host, display, and promote that Image on the Platform and across Littino’s promotional channels *only* until the $150 Buy-Out is triggered.
3.2 Image Ownership Transfer and $150 Buy-Out
When the Accumulated Value of an Image reaches **$150.00**, Littino will process the **$150.00** payment to the Creator. In consideration of this payment, the Creator transfers **ALL exclusive ownership, intellectual property rights, and commercial rights** of the **uploaded Image file** to Littino. The Creator expressly warrants that the Image is free of any encumbrances or third-party claims at the time of transfer.
3.3 Creator Indemnification (Platform Protection)
The Creator **SHALL INDEMNIFY, DEFEND, AND HOLD HARMLESS** Webzieh Creations Ltd. (Littino) from and against any and all claims, liabilities, costs, damages, and expenses (including reasonable legal fees) arising from or related to:
- Any claim that the Image uploaded by the Creator infringes the intellectual property rights or proprietary rights of any third party worldwide.
- Any breach of the warranties made by the Creator regarding the originality and ownership of the Image.
- Any content posted by the Creator that violates local or international laws (e.g., hate speech, illegality, obscenity).
This indemnity survives the termination of your account or the sale of the Image to Littino.
4. User Content and Platform Liability (Government & User Risk)
4.1 Global Content Standards and Compliance
All content must comply with all applicable laws in the jurisdiction from which it is posted and the laws of England and Wales. This includes, but is not limited to, laws regarding child protection, terrorism, and regulated goods. Littino adheres to obligations under the **EU Digital Services Act (DSA)**, the **US Digital Millennium Copyright Act (DMCA)**, and equivalent global legislation regarding the prompt removal of illegal and infringing content upon official notification.
4.2 Platform Status and Limitation of Liability
Littino is strictly a hosting provider and transaction facilitator. We do not review all content prior to posting. You acknowledge that Littino:
- **IS NOT RESPONSIBLE** for the accuracy, legality, or ownership claims of Creator-uploaded Images.
- **DISCLAIMS ALL LIABILITY** for any direct, indirect, incidental, punitive, or consequential damages arising from the use or inability to use the Services or any content posted by Creators.
Our total cumulative liability to you for any and all claims arising out of or relating to these Terms, the Services, or any content, will in no event exceed the greater of: (i) the total fees paid by you to Littino in the six (6) months preceding the claim, or (ii) **$100.00 USD.**
5. The Accumulated Value System Mechanics
5.1 Value and Payout Guarantee
The **$0.02 Daily Increment** and the **$150.00 Buy-Out** are contingent upon the Creator maintaining an active, paid subscription and the uploaded Image remaining compliant with our Content Standards. Littino’s financial commitment is fully secured by its business model (Webzieh Creations Ltd. revenue stream).
5.2 Honorarium Finality
The Honorarium transaction is a non-revocable, completed financial gift that instantly activates the **$1.50** value increment. Users bear sole responsibility for the amount and recipient of any Honorarium.
6. Termination and Account Suspension
Littino reserves the right, in its sole discretion and without prior notice or liability, to immediately suspend or terminate your account (Creator or User) if you breach any part of these Terms, including failure to pay subscription fees or violation of content policies. Upon termination, any remaining Accumulated Value on Images is forfeited, and no refunds for prepaid subscriptions will be issued.
